DigitechPak Partner Marketplace Agreement

Introduction and Acceptance

This Marketplace Partner Agreement (“Agreement”) constitutes a legally binding contract between you (the “Partner”, “Seller”, or “Creator”) and DigitechPak (the “Platform”, “We”, or “Us”).

By applying to become a Partner, creating an account, or listing any digital content for sale on DigitechPak, you expressly agree to be bound by all the terms set forth herein. If you do not accept these terms in their entirety, you are not authorized to use the platform as a seller.

1. Account Eligibility, Security, and Conduct

1.1. Eligibility: To register as a Partner, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. Businesses registering as Partners must be authorized representatives of their entity.

1.2. Registration Data: You agree to provide true, accurate, current, and complete information during registration (including legal name, verifiable phone number, and payment details) and to maintain and update this information to keep it accurate. The use of fake identities or multiple accounts to manipulate the system is prohibited.

1.3. Account Security: You are responsible for maintaining the confidentiality of your login credentials. You accept full responsibility for all activities that occur under your Partner account. You must notify DigitechPak immediately of any unauthorized use of your account.

1.4. Professional Conduct: You agree to interact with DigitechPak staff and customers in a professional, respectful, and timely manner. Abusive language, threats, harassment, or unprofessional behavior may result in immediate account suspension.

2. Product Listing Guidelines & Quality Standards

We maintain high standards to ensure customer trust. All products submitted must adhere to these guidelines:

2.1. Accurate Representation: Product titles, descriptions, and previews must accurately reflect the digital content being sold. Misleading claims about functionality, compatibility, or results are strictly prohibited.

2.2. High-Quality Assets:

  • Preview Images: Must be high-resolution, professional, and free from third-party watermarks not belonging to the Partner.
  • Files: Deliverable files (ZIPs, PDFs, etc.) must be uncorrupted, functional, free of passwords (unless clearly stated), and contain all advertised components.

2.3. Prohibited Content: You may not list content that is:

  • Malicious (viruses, malware, spyware).
  • Illegal, defamatory, obscene, or hateful.
  • Broken or non-functional software/scripts.
  • Designed to Bypass Platform Communication: Content that includes embedded contact forms, direct email links, links to external support websites/ticketing systems, or any mechanism intended to capture buyer contact details or facilitate direct, off-platform communication with the Partner.

3. Intellectual Property Rights & Warranties (Crucial)

3.1. Your Warranty: By listing a product, you represent and warrant that:

  • You own the worldwide intellectual property rights to the content; OR
  • You possess valid, verifiable licenses (e.g., Master Reseller Rights, transferable commercial licenses) authorizing you to sell and distribute the content on our platform.

3.2. No Piracy Policy: Listing “nulled,” “cracked,” unauthorized GPL derivatives that violate original licenses, or stolen content is grounds for immediate permanent termination and potential legal action.

3.3. Platform License: You grant DigitechPak a non-exclusive, worldwide license to use, reproduce, display, and distribute your listed content for the sole purpose of operating the marketplace and promoting your products.

4. Financial Terms: Commissions, Fees, and Payouts

4.1. Revenue Share Structure: DigitechPak facilitates transactions and charges a service fee for platform usage, marketing, and payment processing.

  • Gross Sale Price: The amount paid by the customer.
  • Platform Fee (Commission): DigitechPak will retain 25% of the Gross Sale Price.
  • Partner Earnings: The Partner will receive75% of the Gross Sale Price (Net Revenue). We reserve the right to modify commission rates with 30 days prior notice via email or dashboard announcement.

4.2. Payment Holding Period (Escrow for Security): To secure buyers against fraud and process potential refunds, partner earnings for each sale will be held in a pending status for 14 Days from the transaction date. After this period passes without dispute, funds move to “Available Balance.”

4.3. Payout Process:

  • Threshold: You may request a withdrawal once your “Available Balance” exceeds PKR 1000.
  • Methods: Payouts are processed via Bank Transfer, JazzCash, EasyPaisa on a weekly basis.
  • Responsibility: You are solely responsible for providing correct payment details. We are not liable for funds sent to incorrect accounts due to Partner error.

4.4. Dormant Accounts: If your account remains inactive no logins or sales for a period of 12 consecutive months, DigitechPak reserves the right to charge a monthly dormancy fee against available balances or close the account.

5. NON-CIRCUMVENTION & PLATFORM LEAKAGE (ZERO TOLERANCE)

To protect the integrity of our marketplace, DigitechPak strictly enforces a non-circumvention policy.

5.1. The Policy: Partners are prohibited from bypassing DigitechPak’s payment systems or attempting to divert DigitechPak users to other platforms or direct dealing arrangements.

5.2. Prohibited Actions: You agree NOT to:

  • Include personal contact information (email, phone/WhatsApp, website URLs, social media handles) in product descriptions, images, or public comments.
  • Use the platform’s messaging system to solicit direct payments (e.g., asking for JazzCash/Bank transfer directly) or ask buyers to contact you off-platform before a purchase.
  • Offer discounts or incentives for buyers to purchase outside of DigitechPak.

5.3. Severe Penalty for Violation: Any confirmed breach of this section is considered material fraud against the platform and will result in:

  • Immediate and permanent termination of your Partner account.
  • Total forfeiture (confiscation) of ALL funds currently held in your Partner wallet (both pending and available) as liquidated damages.

6. Customer Support and Refund Policy

6.1. Partner Support Obligations: You agree to provide reasonable technical support to buyers (e.g., assistance with installation, explaining features). You must respond to customer support inquiries via the platform within 2 business days (48 hours). Support does not include providing extensive customization services unless sold as an extra.

6.2. Platform-Initiated Refunds: DigitechPak reserves the right to issue a refund to a buyer, without your consent, if:

  • The product is proven defective, incomplete, or materially different from its description.
  • You fail to respond to a legitimate support request within the mandated timeframe.
  • The product is found to violate IP rights.

6.3. Chargebacks: When a refund is issued, the corresponding earnings will be deducted from your account balance.

7. Indemnification and Limitation of Liability (Legal Protection)

7.1. Indemnification: You agree to indemnify, defend, and hold harmless DigitechPak, its owners, affiliates, and employees from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to: (a) your violation of this Agreement; (b) your listing or sale of any product; or (c) any claim that your product infringes on the intellectual property rights of a third party.

7.2. Limitation of Liability: DigitechPak provides the platform on an “as-is” and “as-available” basis. To the fullest extent permitted by law, DigitechPak shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the platform.

8. Termination and Modifications

8.1. Termination by Us: We may suspend or terminate your account and access to the platform at our sole discretion, immediately and without prior notice, for any violation of these Terms, or if your actions expose the Platform or its users to legal liability or financial risk.

8.2. Changes to Terms: DigitechPak reserves the right to update or modify these Terms at any time. Continued use of the platform after changes constitute acceptance of the new terms.
